VTL Marketplace ("VTL," "we," "us," or "our") is operated by Vital Trading Limited. These Terms of Service ("Terms") govern your access to and use of vtlmarket.com, including any content, functionality, and services offered on or through the site (the "Marketplace"). By accessing or using the Marketplace, creating an account, placing an order, or listing products as a vendor, you agree to be bound by these Terms. If you do not agree, please do not use the Marketplace.

1. ABOUT VTL MARKETPLACE

VTL Marketplace is an online multi-vendor platform based in The Gambia that connects buyers with independent sellers, vendors, and businesses offering local and global products, hardware and tools, electronics, vehicles, and business-to-business (B2B) procurement services. VTL Marketplace acts as an intermediary platform. Except where a product is sold directly by VTL Marketplace under the "VTL Official Store," each product listing is offered for sale by an independent third-party vendor, and VTL Marketplace is not the seller of record for those items.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or place an order on VTL Marketplace. When you register an account, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@vtlmarket.com if you suspect unauthorized use of your account.

3. VENDORS AND MARKETPLACE LISTINGS

Vendors who list products on VTL Marketplace are independent third parties and are solely responsible for the accuracy of their product descriptions, pricing, images, inventory, and fulfillment. Vendors must comply with all applicable laws, including consumer protection, product safety, and import/export regulations. VTL Marketplace reserves the right to remove any listing, suspend, or terminate a vendor's account for violations of these Terms, fraudulent activity, or any conduct that harms buyers or the integrity of the Marketplace.

4. PRODUCTS, PRICING, AND AVAILABILITY

All prices displayed on VTL Marketplace are in Gambian Dalasi (GMD) unless otherwise stated, and are subject to change without notice. We and our vendors make reasonable efforts to display product information, including pricing and availability, accurately; however, errors may occur. If a product is listed at an incorrect price or with incorrect information due to a typographical, technical, or vendor error, VTL Marketplace and the relevant vendor reserve the right to cancel or refuse any order arising from such error, whether or not the order has been confirmed.

5. ORDERS AND PAYMENT

By placing an order, you make an offer to purchase the selected product(s) subject to these Terms. Orders are not final until confirmed. We accept payment through the methods indicated at checkout. You represent that you are authorized to use the payment method provided and that all payment information you supply is accurate. VTL Marketplace, or a designated payment processor acting on our behalf, will process payments securely; VTL Marketplace does not store full payment card details.

6. SHIPPING AND DELIVERY

Delivery timeframes are estimates only and may vary depending on the vendor, product availability, destination, and courier. Local deliveries within The Gambia and international or import shipments are subject to the shipping options presented at checkout. Risk of loss and title to products pass to you upon delivery to the shipping carrier, unless otherwise required by applicable law.

7. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, exchanges, and refunds are governed by our Return & Refund Policy, which forms part of these Terms. Please review that policy before making a purchase.

8. B2B PROCUREMENT AND BULK ORDERS

Business customers using our B2B Procurement services may be subject to additional terms, including negotiated pricing, purchase orders, minimum order quantities, and separate invoicing arrangements. Any such additional terms will be agreed in writing (including by email) between the business customer, VTL Marketplace, and/or the relevant vendor, and will supplement, not replace, these Terms.

9. VEHICLE MARKETPLACE LISTINGS

Vehicles listed on VTL Marketplace are sold by independent vendors or private sellers. VTL Marketplace does not inspect, certify, warrant, or guarantee the condition, roadworthiness, mileage accuracy, or legal title of any vehicle listed. Buyers are strongly encouraged to independently inspect any vehicle and verify ownership documents, registration, and import compliance before completing a purchase. VTL Marketplace is not a party to the sale contract for vehicle transactions between buyers and vendors.

10. IMPORT, EXPORT, AND CUSTOMS COMPLIANCE

Some products available on VTL Marketplace may be imported from outside The Gambia. Buyers are responsible for complying with all applicable customs regulations, import duties, taxes, and restrictions in their jurisdiction. VTL Marketplace and its vendors are not responsible for delays, seizures, or additional costs imposed by customs authorities.

11. PROHIBITED CONDUCT

You agree not to: (a) use the Marketplace for any unlawful purpose; (b) list or purchase counterfeit, stolen, or prohibited goods; (c) interfere with the security or proper functioning of the Marketplace; (d) misrepresent your identity or affiliation; (e) engage in fraudulent transactions, chargebacks, or payment abuse; or (f) harass, defraud, or harm other users, vendors, or VTL Marketplace staff.

12. INTELLECTUAL PROPERTY

All content on VTL Marketplace, including the VTL logo, trademarks, graphics, text, and site design, is owned by or licensed to VTL Marketplace and is protected by applicable intellectual property laws. Vendors retain ownership of their own product content but grant VTL Marketplace a non-exclusive license to display such content on the Marketplace for the purpose of facilitating sales.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, VTL Marketplace, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Marketplace, purchases made from vendors, or reliance on any information provided on the site. VTL Marketplace's total liability for any claim arising out of these Terms shall not exceed the amount you paid for the product or service giving rise to the claim.

14. DISCLAIMER OF WARRANTIES

The Marketplace and all products and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as required by applicable law.

15. INDEMNIFICATION

You agree to indemnify and hold harmless VTL Marketplace and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Marketplace, or your violation of any law or third-party rights.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of The Republic of The Gambia, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Marketplace shall first be addressed informally by contacting us at support@vtlmarket.com. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of The Gambia.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. The updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Marketplace after changes take effect constitutes acceptance of the revised Terms.
